Hardware Limited Warranty: Cellularm Warranty Terms of The Cellularm Device

This Hardware Limited Warranty ("Warranty") applies to RACO-assembled hardware devices marketed and sold under the Cellularm® brand ("Devices") purchased directly from RACO Manufacturing and Engineering Co. ("RACO") or from an authorized RACO distributor. This Warranty applies only to the physical hardware and does not apply to cellular connectivity service, SIM provisioning, data transmission, or related subscription services, which are governed by the Cellularm Terms of Service.


1. Limited Hardware Warranty

RACO warrants that the Devices will be free from defects in materials and workmanship under normal use and service for a period of twelve (12) months from the date of shipment by RACO to Customer, or fifteen (15) months from the date of shipment by RACO to an authorized distributor, whichever is earlier (the "Warranty Period").

This Warranty applies solely to the original purchasing Customer and is not transferable except as required by applicable law or expressly agreed by RACO in writing.

2. Dead on Arrival (DOA) Policy

Devices that fail to operate upon initial installation within thirty (30) days of shipment shall be eligible for advance replacement. Upon confirmation of a DOA condition by RACO technical support, RACO will ship a replacement Device prior to receipt of the defective unit. Customer must return the defective Device within fifteen (15) business days of receiving the replacement or will be invoiced for the replacement Device at the then-current list price.

3. Exclusive Remedy

During the Warranty Period, RACO's sole obligation, and Customer's exclusive remedy, shall be repair or replacement of the defective Device, at RACO's option.

Replacement Devices may be new or refurbished of equivalent or better functionality and shall be warranted for the remainder of the original Warranty Period or thirty (30) days, whichever is longer.

4. Warranty Exclusions

This Warranty does not cover, and RACO shall have no obligation with respect to, defects or failures resulting from:

  • Improper installation, wiring, configuration, or commissioning
  • Misuse, abuse, negligence, or accident
  • Exposure to improper environmental conditions, including moisture, corrosive atmospheres, extreme temperatures, or lightning
  • Installation of the Device in an enclosure or location inconsistent with the Device's published environmental rating and installation guide
  • Power quality issues exceeding the Device's published electrical tolerances, including surges, brownouts, or improper grounding beyond published specifications
  • Unauthorized modification, repair, or service
  • Use of the Device outside of published specifications or documentation
  • Integration with third-party equipment, systems, networks, or power sources not provided or specified by RACO
  • Loss, interruption, or degradation of cellular network service, including changes to or discontinuation of network technologies by carriers
  • Normal wear and tear or cosmetic damage

RACO does not warrant uninterrupted operation, continuous availability, or compatibility with any specific third-party system.

5. Third-Party Embedded Components

The Cellularm Device incorporates a cellular communications board and associated components manufactured by third parties and integrated by RACO into a RACO-designed enclosure. These components are covered under this Warranty only to the extent they are factory-installed by RACO and have not been modified, removed, or replaced by Customer or any third party. RACO's warranty obligation for such components shall not exceed the warranty terms, if any, provided to RACO by the original component manufacturer. RACO makes no independent warranty regarding the performance, availability, or longevity of third-party wireless networks or cellular services. Cellular connectivity and SIM service are provided and governed solely under the Cellularm Terms of Service and are expressly excluded from this Warranty.

6. Batteries and Consumable Components

Batteries, supercapacitors, and other consumable components are warranted against defects in materials and workmanship for a period of twelve (12) months from the date of shipment, regardless of the Device Warranty Period. Gradual reduction in battery capacity due to normal use and charging cycles is not a defect and is not covered under this Warranty.

7. Firmware and Software

This Warranty applies only to physical hardware. Any firmware embedded in the Device is provided "AS IS." Cellular connectivity, SIM provisioning, and related subscription services are governed exclusively by the Cellularm Terms of Service.

Damage to a Device caused by the installation of firmware updates provided by RACO through official channels shall be covered under this Warranty. Damage caused by unauthorized firmware modifications, third-party firmware, or failure to follow RACO's published update procedures shall not be covered.

8. No Safety or Performance Warranty

Devices are supplemental communication and monitoring components only and are not designed or warranted for use as life-safety, emergency response, or fail-safe control systems.

RACO does not warrant that use of the Devices will prevent damage, injury, environmental impact, regulatory violations, or loss.

9. Extended Warranty

Extended warranty terms beyond the standard Warranty Period may be available under separate written agreement. Contact RACO for details. No extended warranty is valid unless executed in writing by an authorized representative of RACO.

10. Return Process (RMA)

Customer must obtain a Return Material Authorization ("RMA") from RACO prior to returning any Device.

Returned Devices must be:

  • Properly packaged
  • Clearly labeled with the RMA number
  • Shipped in accordance with RACO instructions

Customer is responsible for shipping costs to RACO unless otherwise agreed in writing. RACO will pay return shipping costs for repaired or replaced Devices within the continental United States. International return shipping terms are available upon request.

11. Batch and Systemic Defects

In the event RACO determines that a systemic defect affects multiple Devices, RACO may, at its sole discretion, issue a field service bulletin and provide remediation to affected Customers. Such remediation may include repair, replacement, field-installable correction kits, or firmware updates. Issuance of a field service bulletin does not expand the scope of this Warranty beyond the terms stated herein.

12. Disclaimer of Other Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS WARRANTY IS THE SOLE AND EXCLUSIVE WARRANTY PROVIDED BY RACO WITH RESPECT TO THE DEVICES.

RACO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

13. Limitation of Liability (Hardware)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO THE DEVICES, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF DATA, ENVIRONMENTAL DAMAGE, OR REGULATORY PENALTIES.

RACO'S TOTAL LIABILITY UNDER THIS WARRANTY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE AFFECTED DEVICE.

14. Installation Requirements

Warranty coverage is contingent upon installation of the Device in accordance with RACO's published installation guide and applicable documentation. Line-voltage electrical connections must be performed by a licensed electrician or equivalently qualified professional as required by local code. All other installation steps must be performed in accordance with RACO's published installation guide. Failure to install the Device in accordance with RACO's published specifications, including but not limited to wiring, grounding, antenna placement, enclosure requirements, and power supply specifications, shall void this Warranty with respect to any resulting defect or failure.

15. Data, Configuration, and Stored Information

RACO is not responsible for the loss, corruption, or deletion of any device configuration, settings, or other data stored on or transmitted by the Device, whether such loss occurs during normal operation, warranty service, repair, or replacement. Customer is solely responsible for maintaining backup copies of device configuration and settings. Replacement Devices will be shipped with factory-default configuration unless otherwise agreed in writing.

16. Regulatory Compliance

The Device has been tested and certified for compliance with applicable regulatory requirements, including FCC and other communications certifications, solely in its factory-shipped, unmodified configuration. As the brand owner and party that assembles and places the Device into commerce under the Cellularm name, RACO is responsible for maintaining applicable equipment authorizations for the Device as shipped. Any modification to the Device hardware, antenna, SIM, or radio components by Customer or any third party may void applicable regulatory certifications and shall void this Warranty. RACO is not responsible for any regulatory non-compliance resulting from unauthorized modifications.

17. Force Majeure

RACO's obligations under this Warranty, including repair, replacement, and shipping timelines, shall be suspended to the extent and for the duration that performance is prevented or delayed by causes beyond RACO's reasonable control, including but not limited to natural disasters, pandemics, supply chain disruptions, component shortages, acts of government, war, labor disputes, or carrier delays. RACO will use commercially reasonable efforts to resume performance as soon as practicable and will notify affected Customers of material delays.

18. End of Life and Discontinuation

In the event RACO discontinues the Device model, warranty obligations for Devices sold prior to discontinuation shall remain in effect for the duration of their respective Warranty Periods. If the original Device model is no longer available for repair or replacement, RACO may, at its sole discretion, substitute a functionally equivalent device. RACO will provide a minimum of one hundred eighty (180) days advance written notice of product discontinuation and will maintain spare parts availability for a minimum of twelve (12) months following the end-of-life date.

19. Relationship to Other Agreements

This Warranty is incorporated by reference into applicable order forms and is supplemental to the Cellularm Terms of Service.

In the event of a conflict, the Cellularm Terms of Service shall govern with respect to cellular connectivity, SIM provisioning, data transmission, and subscription services. This Warranty shall govern with respect to physical hardware defects and workmanship.

20. Governing Law and Dispute Resolution

This Warranty is governed by the laws of the State of California, without regard to its conflict-of-laws principles, subject to applicable public-entity constraints.

(a) Binding Arbitration. Except as provided in subsection (c), any dispute, claim, or controversy arising out of or relating to this Warranty, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Alameda County, California, before a single arbitrator for claims under one million dollars ($1,000,000) and before a panel of three arbitrators for claims of one million dollars ($1,000,000) or greater. The arbitrator(s) shall have authority to award any remedy available in a court of law, subject to the limitations set forth in this Warranty. Judgment on the award may be entered in any court of competent jurisdiction.

(b) Class Action Waiver. Each party agrees that any arbitration or proceeding shall be conducted solely on an individual basis and not as a class, collective, or representative action. The arbitrator shall have no authority to consolidate claims of more than one Customer or to preside over any form of representative proceeding.

(c) Carve-Outs. Notwithstanding subsection (a), either party may seek (i) injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property or breach of confidentiality obligations, and (ii) collection of undisputed amounts owed. Disputes regarding the scope or enforceability of this arbitration provision shall be decided by the arbitrator, except that the enforceability of the class action waiver in subsection (b) shall be decided by a court of competent jurisdiction.

(d) Confidentiality. The existence, content, and outcome of any arbitration shall be kept confidential by the parties and the arbitrator(s), except as required by applicable law, for enforcement of the award, or in connection with judicial proceedings related to the arbitration.

(e) Fees and Costs. Each party shall bear its own attorneys' fees and costs, except that the arbitrator may award fees and costs to the prevailing party where authorized by applicable law or where a claim or defense is determined to have been frivolous.

(f) Public Entity Exception. This Section 20 shall not apply to Customers that are public entities where binding pre-dispute arbitration is prohibited by applicable law. For such Customers, disputes shall be resolved in a court of competent jurisdiction, with venue determined in accordance with applicable law.

(g) Jury Trial Waiver. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE ARISING OUT OF, UNDER, OR IN CONNECTION WITH THIS WARRANTY. THIS JURY TRIAL WAIVER SHALL NOT APPLY TO CUSTOMERS THAT ARE PUBLIC ENTITIES WHERE SUCH WAIVER IS PROHIBITED BY APPLICABLE LAW.

(h) Survival. This Section 20 shall survive termination or expiration of this Warranty.
